Limited Liability Companies
Accountants often advise that an incorporation with the limited liability company form is best suited to a small business. An LLC is similar to a corporation; if more than one person is involved, it will require a detailed LLC operating agreement designed to prevent deadlocks and conflicts if problems arise between the owners of the limited liability company.

Construction Litigation
Where a dispute develops regarding an existing contract, even simple contracts can generate complex legal issues; and where the contract is complex, in the sense of having a length of ten, twenty or more pages, and/or detailed legal wording, the attorney must have a view of the legal forest, as well as the trees. Mr. Rand's first exposure to complex contracts was as a law clerk for a judge of the District of Columbia Court of Appeals, where he did legal research and memoranda writing for the court on complicated contract cases involving insurance coverage, lawsuit settlements and Consent Orders, and other contract cases. Since then, contract law has been the bread and butter of his law practice, although he regularly practices in other areas, such as negligence and personal injury, i.e., car accidents, family and divorce law, and construction law.

Tom Rand also has extensive experience in researching and litigating real estate contract disputes and property disputes. Real estate contracts are a specialized part of contract law. Personal Injury
This usually depends upon the type of case or work involved. For most civil litigation, the charge is on an hourly basis, with an advance payment required. For personal injury cases, the fee is typically a contingency fee, for a percentage of the settlement or award. For wills, uncontested divorces, DWI and traffic matters, the charges are on a flat-fee basis. On some collection and other matters, the fee can be a mixed hourly rate/contingency fee arrangement.

Estate Planning
Estate administration is known as probate, and is largely an issue of paperwork and accounting. While most people who could balance a checkbook could probably figure out how to administer an estate, it is often easier and wiser to let an experienced lawyer guide one through the process.
Wills
In Maryland, Wills, cases involving disputes over Last Will and Testaments, and estate administration (i.e., probate) are usually handled by the different counties' Register of Wills, and the Orphan's Courts. The Register of Wills, as the name implies, can hold a Last Will and Testament for safekeeping; an advantage of that service is that since probate must occur in the County where one resided before dying, it is impossible to miss a Will if it has been deposited with the Register of Wills in the County where the decedent lived. Otherwise, whether the Will (and the correct Will, e.g., the most recently properly signed and witnessed Will) will be found or not, may depend on luck and friends or family knowing where to look.
Power of Attorney
If you have a family or friends, you should have a Will. The law of intestate succession, which governs the disposition of your property if you die without a Will, is somewhat outdated, and sometimes bizarre. A Will specifies critical matters, including who will receive the benefits of your estate and who will be the preferred guardian of your minor children. When Tom Rand does a Will, included in the service is the preparation of medical and financial powers of attorney. It is very important to have these documents in place to protect your medical treatment, your finances, and your family if you become disabled.
Probate

Tax Law
What kind of incorporation will suit you? Maryland recognizes regular corporations, and close corporations, which do not have boards of directors and are more suitable for a small business and a one or two-person enterprise. Both regular and close corporations can be a "C" corporation or a subchapter "S" corporation, which are designated for tax purposes. Tom Rand does not practice tax law and do not give tax advice; you should work with your accountant to decide the details appropriate to your small business or large enterprise. If you do not have an accountant, Tom Rand can help you find a good CPA. When an incorporation involves multiple shareholders or owners, a shareholders agreement should be an integral part of the initial legal project. The basic purpose of a shareholders agreement is to provide a simple, efficient mechanism to resolve ownership conflicts, and thereby avoid costly, bitter lawsuits with huge attorneys fees.
